Aker ASA: Lerøy Acquisition of Havfisk and Norway Seafoods approved by Norway Ministry of Trade, Industry and Fisheries
Reference is made to the stock exchange notice published on 2 June 2016 regarding the agreements entered by Aker Capital AS and Aker Capital II AS ("Aker") with Lerøy Seafood Group ASA ("Lerøy") to sell Aker's 63.21 per cent ownership stake in Havfisk ASA ("Havfisk") for NOK 36.50 per share and Aker's 73.63 per cent ownership stake in Norway Seafoods Group AS ("Norway Seafoods") for NOK 1.0 per share.
Solstad Offshore ASA ("SOFF" or "Solstad") and REM Offshore ASA ("REM") have on July 27, 2016 agreed to merge REM with a wholly-owned subsidiary of Solstad ("Merger Sub") ("the Merger"). REM, the principal shareholders of REM, and SOFF and its principal shareholders, have entered into an agreement that sets out the terms of the merger.
The net asset value of Aker ASA and holding companies (Aker) rose by 29 per cent adjusted for dividend in the second quarter 2016 to NOK 24.7 billion, compared with the first-quarter figures. Per-share net asset value ("NAV") amounted to NOK 333 as per 30 June 2016, compared to NOK 265 as per 31 March (prior to dividend allocation).

Aker ASA: Det norske oljeselskap and BP Norge merge to create leading independent E&P company on NCS
Reference is made to Det norske oljeselskap ASA's ("Det norske") stock exchange announcement today regarding the agreement with BP Plc ("BP") to merge with BP Norge AS ("BP Norway") through a share purchase transaction to create the leading independent E&P company on the Norwegian Continental Shelf (NCS). The company will be renamed Aker BP ASA ("Aker BP"), with Aker ASA ("Aker") and BP as main industrial shareholders.

Aker Capital AS, a company wholly owned by Aker ASA, has today entered into an agreement with Lerøy Seafood Group ASA for the sale of 53,501,793 shares in Havfisk ASA (the "Company") at a price of NOK 36.5 per share. The transaction is conditional on financing as well as regulatory and third party approvals.

The net asset value of Aker ASA and holding companies ("Aker") fell by 5.7 per cent in the first quarter 2016 to NOK 19.7 billion, compared to NOK 20.9 billion as per 31 December 2015. Per share net asset value ("NAV") amounted to NOK 265 as per 31 March 2016, compared to NOK 282 as per year-end 2015. Cash holdings rose by NOK 0.7 billion to NOK 2.2 billion.
